Due Diligence

Transaction processes often include preliminary assessments and value indications as a precursor to a full due diligence process commencing. We can support that assessment work and then follow through with detailed due diligence and risk assessment analysis as part of your due diligence team, with a particular focus on operating model risks and capabilities as they relate to operational functions along with supporting technology and data.

Our GRC team can also support your due diligence process bringing their expertise to bear to assess a target firm's governance, risk and compliance capabilities.

Valuation Assessment

Identifying potential risks and opportunities from a value impact perspective is fundamental to any transaction. We work with client-side valuation teams to quantify operational-related risks and opportunities to as to support a robust financial assessment of the acquisition opportunity from a commercial perspective.

We can also support the establishment of value/synergy tracking processes and frameworks to ensure the primary value drivers of a transaction can be effectively managed over time and value capture efforts reported on a transparent basis.

Post-merger Integration planning

The due diligence process can only tell you so much. Establishing a robust plan for pre and post day one activities which is understood and endorsed by key stakeholders ensures that the integration effort can get off to as an effective start as possible.

We can bring our programme management and planning capabilities to bear to support pre day one and post day one planning and work with key stakeholders to establish a clear transition pathway.

Merger Integration

The statistics relating to successful merger integrations often do not make for great reading. Execution is where value is created or lost and the first 90 days of an integration effort can set the tone for its success or otherwise.

Having established a clear transition pathway, we can then lead the implementation of that pathway, establishing appropriate programme governance, delivery structures, risk management and change management capabilities.

Where required we can also provide project resourcing support in the form of Project Management and Business Analysis.
